For Swedish companies, the following applies: Annual reports must be submitted to Bolagsverket according to specific deadlines regulated by the Companies Act. For most companies, the deadline is six months after the end of the financial year, but listed companies on Stockholmsbörsen are subject to stricter rules with shorter deadlines.

Deadlines for Swedish companies

For ordinary limited companies, the Board must prepare the annual report and submit it to the auditors no later than one month before the annual general meeting. The annual general meeting must be held within six months of the end of the financial year. After the annual general meeting has approved the annual report, it must be registered with Bolagsverket within eight months of the end of the financial year, which for companies that operate on the basis of the calendar-year means a deadline of 31 August at the latest.

Deadlines for listed companies

Companies listed on Nasdaq Stockholm must publish their annual report within four months of the end of the financial year according to the exchange’s regulations, which for companies that operate on the basis of the calendar-year means 30 April at the latest. Many listed companies publish year-end communications as early as February, with preliminary information before the annual report is finalised.
